1. ACCEPTANCE OF TERMS


By accessing or using Hazurion's safety intelligence platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.


2. DESCRIPTION OF SERVICE


Hazurion provides a conversational safety intelligence platform powered by artificial intelligence, including:


  • Natural language safety consultations through our AEGIS engine (11 specialized agents)

  • Safety document generation and management through 19 HSIS modules

  • Incident reporting and investigation tools

  • Risk assessment and compliance validation through VERA

  • Mobile and web applications with offline capability

  • Real-time safety intelligence and predictive analytics

  • Integration capabilities with third-party systems

  • 106 trigger patterns for industry-specific intelligence


3. ACCOUNT REGISTRATION


3.1 Eligibility


You must be at least 18 years old and capable of entering into legally binding contracts. You must provide accurate, current, and complete information during registration.


3.2 Account Security


You are responsible for:


  • Maintaining the confidentiality of your login credentials

  • All activities that occur under your account

  • Immediately notifying us of unauthorized use at security@hazurion.ai

  • Ensuring your users comply with these Terms

  • Implementing two-factor authentication when available


3.3 Account Types


  • Individual Plans (Scout, Ranger): Single user accounts

  • Business Plans (Starter, Premium, Entreprise): Multi-user organizational accounts with admin controls


3.4 Data Accuracy


You warrant that all safety data, incident reports, and workplace information you provide is accurate and complete. Inaccurate safety data could result in inappropriate recommendations that may impact workplace safety.


4. SUBSCRIPTION PLANS & BILLING


4.1 Subscription Tiers


Current pricing and features are detailed at hazurion.ai/pricing. We offer:

  • Scout (Free): 30 conversations/month

  • Ranger: $49/month (1 user, unlimited conversations)

  • Starter: $29/seat/month (up to 100 employees)

  • Premium: $2,900/month (up to 250 employees)

  • Entreprise: $3,900/month (up to 500 employees)


Key Differentiator: Unlike competitors, we have NO viewer fees, NO module restrictions, and NO hidden costs.


4.2 Payment Terms


  • Subscriptions auto-renew monthly/annually unless canceled

  • Payment is due at the beginning of each billing cycle

  • All fees are non-refundable except as specified in Section 4.4

  • Prices may change with 30 days' notice

  • We accept payment via major credit cards and ACH transfer

  • No setup fees or implementation costs


4.3 Fair Use Policy


Unlimited features are subject to fair use. Fair use guidelines:

  • API calls: Up to 10,000/day (vs. competitors' 1,000/day limits)

  • Storage: Up to 10TB per organization included

  • Conversations: Reasonable human usage patterns

  • Document generation: Up to 1,000/month


4.4 Refund Policy


  • 30-day money-back guarantee for new Business plan subscribers (unique in industry)

  • Pro-rated refunds for service interruptions exceeding our SLA

  • No refunds for Scout (free) or Ranger plans

  • Credits issued within 10 business days


5. ACCEPTABLE USE POLICY


5.1 You MUST:


  • Use the Service only for lawful safety management purposes

  • Comply with all applicable safety regulations (OSHA, ISO 45001, local standards)

  • Ensure the accuracy of safety-critical information you provide

  • Maintain appropriate human oversight of system recommendations

  • Report safety incidents truthfully and promptly

  • Protect confidential safety information

  • Complete regular backups of critical safety data


5.2 You MUST NOT:


  • Use the Service to replace qualified safety professionals where required by law

  • Rely solely on Hazurion’s recommendations for life-critical decisions without human review

  • Share login credentials or circumvent user limitations

  • Use the Service to generate false or misleading safety documentation

  • Attempt to reverse-engineer, copy, or extract our intelligent models or 106 trigger patterns

  • Resell or sublicense the Service without written permission

  • Upload malicious code or attempt to compromise system security

  • Use the Service in any way that violates applicable laws

  • Manipulate safety metrics or reporting for fraudulent purposes

  • Use the Service to harass, discriminate, or create hostile work environments

  • Attempt to extract or replicate our SAVIA or VERA systems


5.3 Safety-Critical Activities


For activities involving immediate risk to life or health, you must:

  • Seek immediate human intervention

  • Follow established emergency procedures

  • Use AI recommendations only as supplementary information

  • Document all safety-critical decisions

  • Contact emergency services when appropriate


6. ARTIFICIAL INTELLIGENCE DISCLAIMERS


6.1 Nature of AI Service


  • Hazurion provides safety recommendations based on probabilistic AI analysis

  • Response time of 2-8 seconds reflects genuine processing through 13 specialized agents

  • VERA provides reasoning transparency, showing how conclusions are reached

  • Our 106 trigger patterns provide industry-specific context detection

  • Recommendations should supplement, not replace, professional judgment


6.2 Limitations


  • AI may occasionally generate incorrect or incomplete information

  • Current accuracy: 85% incident prediction, 91% compliance confidence

  • Industry detection and risk assessments are estimates based on patterns

  • Regulatory compliance guidance requires verification with current local laws

  • Emergency situations require immediate human intervention

  • AI cannot replace mandatory safety training or certifications

  • System requires internet connectivity (offline mode has limitations)


6.3 No Warranty of Accuracy


The Service is provided "AS IS" without warranty of complete accuracy. Safety decisions remain your responsibility. We do not guarantee prevention of workplace incidents.


6.4 AI Training and Improvement


  • We use aggregated, anonymized data to improve our models

  • Your specific safety data is never used to train models for other customers

  • You may opt out of contributing to model improvements via settings

  • Model updates occur monthly with change logs provided


7. INTELLECTUAL PROPERTY


7.1 Hazurion's Property


We retain all rights to:


  • The Service, including SAVIA and VERA systems

  • Our 106 trigger patterns and 13 specialized safety agents

  • The HSIS framework and 19 modules

  • Machine learning models and algorithms

  • Our brand, logos, and marketing materials

  • Aggregated, anonymized usage data and insights

  • System architecture and source code


7.2 Your Property


You retain all rights to:


  • Your organization's safety data and records

  • Custom safety documents you create

  • Your proprietary safety procedures and policies

  • Confidential incident information

  • Your company's safety metrics and reports

  • Employee training records

  • Investigation findings and corrective actions


7.3 License Grants


  • We grant you a limited, non-exclusive, non-transferable license to use the Service

  • You grant us a limited license to process your data solely to provide the Service

  • Aggregated, anonymized data may be used for industry benchmarking

  • You may export your data at any time in standard formats (JSON, CSV, PDF)


7.4 Feedback


If you provide feedback or suggestions, you grant us a perpetual, royalty-free license to use such feedback to improve our Service.


8. DATA SECURITY & CONFIDENTIALITY


8.1 Security Measures


We implement enterprise-grade security including:

  • Compliance: SOC 2 Type II certified (report available on request)

  • EU data residency available for Enterprise customers

  • Data backups in geographically distributed locations

  • All data centers are SOC 2 certified


9. SERVICE LEVEL AGREEMENT (SLA)


9.1 Uptime Commitment


Business Plans:


  • Monthly Uptime: 99.9% guaranteed

  • Response Time: 2-8 seconds for queries

  • Document Generation: Less than 15 seconds

  • API Availability: 99.9% uptime


Enterprise (Nexus) Plans:


  • Monthly Uptime: 99.95% guaranteed

  • Response Time: 2-5 seconds for queries

  • Document Generation: Less than 10 seconds

  • API Availability: 99.95% uptime


9.2 Support Response Times


Priority Level: Critical


  • Description: Safety emergency, system down

  • Response Time: 1 hour

  • Resolution Target: 4 hours


Priority Level: High


  • Description: Major feature unavailable

  • Response Time: 4 hours

  • Resolution Target: 24 hours


Priority Level: Medium


  • Description: Degraded performance

  • Response Time: 24 hours

  • Resolution Target: 72 hours


Priority Level: Low


  • Description: General inquiry

  • Response Time: 48 hours

  • Resolution Target: 5 business days


9.3 Credits for Downtime


Service Credit Schedule:


  • Monthly uptime 99.5% - 99.9%: 10% credit

  • Monthly uptime 99.0% - 99.5%: 25% credit

  • Monthly uptime below 99.0%: 50% credit


Credits are calculated based on monthly fees and applied to the next billing cycle.


10. INDEMNIFICATION


10.1 Your Indemnification


You agree to indemnify and hold harmless Hazurion from claims arising from:


  • Your violation of these Terms

  • Your use or misuse of the Service

  • False or inaccurate safety data you provide

  • Decisions made without appropriate human oversight

  • Violation of safety regulations

  • Infringement of third-party rights


10.2 Our Indemnification


We will defend you against claims that our Service infringes intellectual property rights, subject to:


  • Prompt written notice of the claim

  • Full cooperation in the defense

  • Exclusive control of defense and settlement

  • The claim doesn't arise from your modifications or misuse


11. LIMITATION OF LIABILITY


11.1 Disclaimer of Warranties


THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.


11.2 Limitation of Damages


TO THE MAXIMUM EXTENT PERMITTED BY LAW:


  • Our total liability shall not exceed the amount paid in the preceding 12 months

  • Neither party liable for indirect, incidental, or consequential damages

  • Neither party liable for lost profits, lost data, or business interruption

  • We are not liable for workplace incidents, regulatory fines, or safety failures


11.3 Safety-Critical Disclaimer


Hazurion IS A DECISION SUPPORT TOOL. ULTIMATE RESPONSIBILITY FOR WORKPLACE SAFETY REMAINS WITH QUALIFIED SAFETY PROFESSIONALS AND ORGANIZATIONAL LEADERSHIP.


11.4 Exceptions


These limitations don't apply to:


  • Either party's indemnification obligations

  • Breach of confidentiality

  • Willful misconduct or gross negligence

  • Death or personal injury caused by negligence


12. TERMINATION


12.1 Termination by You


  • Cancel anytime with 30 days notice

  • Immediate termination for our material breach (after 30 days to cure)

  • Export your data before termination via dashboard or API


12.2 Termination by Us


We may terminate immediately for:


  • Material breach not cured within 30 days

  • Non-payment exceeding 60 days

  • Repeated violations after warnings

  • Fraudulent or illegal activity

  • Activity threatening safety or security


12.3 Suspension


We may suspend access immediately for:


  • Security threats

  • Legal requirements

  • System integrity protection

  • During investigation of violations


12.4 Effect of Termination


  • Access ceases at end of billing period (your termination) or immediately (our termination)

  • Data available for export for 90 days

  • Deleted after 90 days unless legally required to retain

  • Sections on IP, liability, confidentiality survive termination


13. MOBILE APPLICATION TERMS


13.1 Mobile Functionality


  • Offline mode available for critical safety functions

  • Automatic sync when connection restored

  • Push notifications for safety alerts

  • Location services for incident reporting (optional)


13.2 App Store Terms


Your use is also subject to:


  • Apple App Store Terms (iOS)

  • Google Play Terms (Android)

  • Device manufacturer terms


13.3 Mobile Limitations


  • Some features require internet connection

  • Offline changes may conflict with online changes

  • Battery optimization may affect background sync


14. THIRD-PARTY INTEGRATIONS


14.1 Available Integrations


  • Microsoft Teams/Slack for notifications

  • SSO providers (Okta, Auth0, Azure AD)

  • HR systems for employee data

  • ERP systems for equipment data


14.2 Integration Responsibilities


  • You control what data flows to third parties

  • We're not responsible for third-party services

  • Third-party terms apply to their services

  • Revoke access anytime via settings


14.3 API Access


  • RESTful API available for Business plans

  • Rate limits apply (10,000 calls/day)

  • API documentation at docs.hazurion.ai

  • Webhook support for real-time events


15. COMPLIANCE & CERTIFICATIONS


15.1 Regulatory Support


The Service is designed to support compliance with:


  • OSHA regulations (US) with CFR references

  • ISO 45001:2018 standards

  • EU Directive 89/391/EEC

  • Industry-specific standards (ANSI, NFPA, etc.)


15.2 Our Certifications


  • Current: SOC 2 Type II, GDPR compliant, CCPA compliant

  • In Progress: ISO 27001, ISO 45001

  • Planned: HIPAA, FedRAMP


15.3 Export Controls


You agree to comply with all applicable export control laws and not export the Service to prohibited countries or entities.


15.4 Government Use


If you're a government entity, contact us for specific terms and certifications required for your jurisdiction.


16. DISPUTE RESOLUTION


16.1 Informal Resolution


First attempt resolution via support@hazurion.ai (most issues resolved within 5 business days)


16.2 Arbitration


If unresolved after 60 days:


  • Binding arbitration under AAA Commercial Rules

  • Location: Wilmington, Delaware (or via video)

  • One arbitrator selected jointly

  • English language proceedings

  • Each party bears own attorneys' fees


16.3 Class Action Waiver


All disputes are individual. No class actions, representative actions, or consolidated actions permitted.


16.4 Exceptions


These don't require arbitration:


  • Small claims court (if qualified)

  • Injunctive relief for IP infringement

  • Emergency safety matters


17. GENERAL PROVISIONS


17.1 Entire Agreement


These Terms plus our Privacy Policy constitute the entire agreement. No other representations or promises are binding.


17.2 Severability


If any provision is invalid, the rest remains in effect. Invalid provisions will be modified minimally to be enforceable.


17.3 Assignment


  • You cannot assign without written consent

  • We may assign to successors or acquirers

  • Terms binding on permitted assigns


17.4 Force Majeure


Neither party liable for delays due to:


  • Natural disasters

  • War, terrorism, civil unrest

  • Pandemic or epidemic

  • Government actions

  • Internet or infrastructure failures

  • Other events beyond reasonable control


17.5 Governing Law


Delaware law governs without regard to conflicts. UN Convention on Contracts excluded.


17.6 Updates to Terms


  • Material changes require 30 days notice

  • Continued use constitutes acceptance

  • Option to terminate if you disagree

  • Changes don't apply retroactively


17.7 No Waiver


Failure to enforce any provision doesn't waive our right to enforce it later.


17.8 Relationship


We're independent contractors, not partners, joint venturers, or agents.
